Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the Construction Information Anywhere (“CIA”) https://cia.hiphing.com.hk System ("Service", "Website" or "System") operated by Hip Hing Group ("us", "we", or "our").

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.

Intellectual Property Rights

Other than content you own, which you may have opted to include on this System, under these Terms, Hip Hing Group and/or its licensors own all rights to the intellectual property and material contained in this System, and all such rights are reserved.

You are granted a limited license only, subject to the restrictions provided in these Terms, for purposes of viewing the material contained on this System.

User Conduct on this System

As a condition of your use of this System, you may not:

1. trespass, break into, access, use or attempt to trespass, break into, access or use any other parts of our servers, and/or any data areas for which you have not been authorized by us;
2. restrict or inhibit any other user from using and enjoying this System;
3. post or transmit any unlawful, fraudulent, libelous, defamatory, obscene, pornographic, profane, threatening, abusive, hateful, offensive, or otherwise objectionable or unreasonable information of any kind, including without limitation any transmissions constituting or encouraging conduct that would constitute a criminal offence, give rise to civil liability, or otherwise violate any local, state, national or foreign law, infringe any intellectual property right, proprietary rights or confidentiality obligations of others;
4. post or transmit any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities or schemes or other unsolicited commercial communication, or engage in spamming or flooding;
5. post or transmit any information or software which contains a virus, Trojan horse, worm or other harmful component;
6. post, publish, transmit, reproduce, distribute or in any way exploit any Information obtained through this System for commercial purposes without our prior written permission (unless otherwise specified by us in this System or pursuant to separate license granted by us);
7. upload, post, publish, transmit, reproduce, or distribute in any way, any component of this System itself or any Information obtained through this System which is protected by copyright, or other proprietary right, or create derivative works with respect thereto, without our prior written permission (unless otherwise specified by us in this System or pursuant to separate license granted by us);
8. engage in any data mining, data harvesting, data extracting or any other similar activity in relation to this System, or while using this System;
9. sell, sublicense and/or otherwise commercialize any System material;
10. use this System contrary to applicable laws and regulations, or in a way that causes, or may cause, harm to the System, or to any person or business entity;

You shall:

1. Provide commercially reasonable information and assistance to the Provider to enable the Provider to deliver the CIA Services. The Customer acknowledges that the Provider’s ability to deliver the CIA Services in the manner provided in this CIA Service Agreement may depend upon the accuracy and timeliness of such information and assistance,
2. Comply with all applicable local, state, national and foreign laws in connection with its use of the CIA Services, including those laws related to data privacy, international communications, and the transmission of technical or personal data. The Customer acknowledges that the Provider exercises no control over the content of the information transmitted by the Customer through the CIA Services,
3. Obtain and maintain any equipment and ancillary services needed to connect to, access or otherwise use the services, and ensure that such Equipment is compatible with the services, as applicable, and also be responsible the use, and maintain the security, of the Equipment.
4. Not upload, post, reproduce or distribute any information, Software or other material protected by copyright, privacy rights, or any other intellectual property right without first obtaining the permission of the owner of such rights,
5. Be solely responsible for the acts and omissions of its Administrator Users. The Provider shall not be liable for any loss of data or functionality caused directly or indirectly by the Administrator Users,
6. Subject to the terms and conditions of this CIA Service Agreement, the Customer shall grant to the Provider a limited, non-exclusive and non-transferable license, to copy, store, configure, perform, display and transmit the Customer Content solely as necessary to provide the CIA Services to the Customer,
7. Notify the Provider immediately of any unauthorized use of any password or user id or any other known or suspected breach of security,
8. Report to the Provider immediately and use reasonable efforts to stop any unauthorized use of the CIA Services that is known or suspected by the Customer, and
9. Not provide false identity information to gain access to or use the CIA Services.
10. User IDs are granted to individual, named persons and may not be shared. You are responsible for any and all actions taken using End User Accounts and passwords, and you agree to immediately notify us of any unauthorized use of which you become aware.

Certain areas of this System are restricted from access by you and Hip Hing Group may further restrict access by you to any areas of this System, at any time, in its sole and absolute discretion. Any user ID and password you may have for this System are confidential and you must maintain confidentiality of such information.

Prohibition of Access

Whilst we shall use commercially reasonable efforts to provide users with access to this System twenty-four (24) hours per day, we cannot guarantee your access and you acknowledge that we make no representation or warranty that this System will be available. You are responsible for your own hardware, software and facilities and we cannot guarantee compatibility of this System with your systems.

We shall be entitled, at our sole discretion, to (a) temporarily suspend this System to upgrade or modify this System, and/or (b) restrict your access to and use of this System where we consider it reasonably necessary for the operation of this System. We shall not be responsible for any loss or damage you may incur as a result of any such suspension, restriction or prohibition.

We reserve the right at all times to prohibit or deny your access to this System or any part thereof immediately and without notice, where we are of the opinion that you have breached any of the terms contained in these Terms of Use or that such prohibition or denial is appropriate, desirable or necessary in our sole opinion.

Links to and from this System

Links on this System may take you to other sites and you acknowledge and agree that we have no responsibility for the accuracy or availability of any Information provided by linked systems.

Links to other systems do not constitute an endorsement or recommendation by us of such systems or the Information, products, advertising or other materials available on those systems.

Your Content

In these Terms and Conditions, “Your Content” shall mean any audio, video, text, images or other material you choose to display on this System. With respect to Your Content, by displaying it, you grant Hip Hing Group a non-exclusive, worldwide, irrevocable, royalty-free, sub-licensable license to use, reproduce, adapt, publish, translate and distribute it in any and all media.

Your Content must be your own and must not be infringing on any third party’s rights. Hip Hing Group reserves the right to remove any of Your Content from this System at any time, and for any reason, without notice.

Protection of data

The cloud service and data is located in Hong Kong.

Using encryption of information to protect sensitive or critical information, either stored or transmitted.

Each customer is assigned a unique identifier by the system, and all its data must be associated with the customer id for the segregation of data, in order to avoid the data being accessed by other customers.

Enforcing the necessary authentication, authorization, confidentiality, data integrity, privacy, accountability, availability, safety and non-repudiation requirements.

The system implemented Reverse Proxy, HTTPS, Two Factor Authentication (2FA) and Data Encryption for sensitive data.

The Customer Support Team shall become aware of a Client’s Personal Data breach, inform the customer of such breach.

No warranties

This System is provided “as is” with all faults, and Hip Hing Group makes no express or implied representations or warranties, of any kind related to this System or the materials contained on this System. Additionally, nothing contained on this System shall be construed as providing consult or advice to you.

Limitation of liability

In no event shall Hip Hing Group, nor any of its officers, directors and employees, be liable to you for anything arising out of or in any way connected with your use of this System, whether such liability is under contract, tort or otherwise, and Hip Hing Group including its officers, directors and employees shall not be liable for any indirect, consequential or special liability arising out of or in any way related to your use of this System.

Indemnification

You hereby indemnify to the fullest extent Hip Hing Group from and against any and all liabilities, costs, demands, causes of action, damages and expenses (including reasonable attorney’s fees) arising out of or in any way related to your breach of any of the provisions of these Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

Variation of Terms

Hip Hing Group is permitted to revise these Terms at any time as it sees fit, and by using this System you are expected to review such Terms on a regular basis to ensure you understand all terms and conditions governing use of this System.

Assignment

Hip Hing Group shall be permitted to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification or consent required. However, you shall not be permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Entire Agreement

These Terms, including any legal notices and disclaimers contained on this System, constitute the entire agreement between Hip Hing Group and you in relation to your use of this System, and supersede all prior agreements and understandings with respect to the same.

Governing Law & Jurisdiction

These Terms shall be governed by the law of the Hong Kong Special Administrative Region of the People’s Republic of China. You agree to submit to the exclusive jurisdiction of the Hong Kong Court.
